1. Acceptance of Terms
By creating an account, accessing, or using the Sipper Society platform ("Platform"), including the mobile application and website, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and Sipper Society LLC ("we," "us," or "our"), an Oregon limited-liability company.
2. Eligibility
You must be at least 21 years of age (or the legal drinking age in your jurisdiction, whichever is higher) to create an account or use the Platform. By using the Platform, you represent and warrant that you meet this age requirement. We reserve the right to request verification of your age at any time and to terminate accounts that do not meet this requirement.
3. Account Responsibilities
When you create an account, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your password and not share your credentials with others
- Promptly update your account information if it changes
- Accept responsibility for all activity that occurs under your account
- Maintain only one account per person
You are responsible for all activity that occurs under your account. If you become aware of any unauthorized use, you must notify us immediately at the contact information provided below.
4. What the Platform Is
Sipper Society is a collection management and social platform for beverage enthusiasts. The Platform allows you to:
- Catalog and manage your personal bottle collection
- Join and participate in private tasting clubs
- Attend and organize tasting events
- Discover and save drink recipes
- Share tasting notes, photos, and ratings with your club community
- Explore spirits by region, type, and food pairings
5. No Alcohol Sales or Transactions
The Platform is strictly an informational and social tool. You may not use the Platform to buy, sell, trade, offer, solicit, or facilitate the exchange of alcoholic beverages. Any references to alcoholic products on the Platform are for personal collection tracking and informational purposes only. We are not a retailer, distributor, or marketplace. Violation of this provision is grounds for immediate account termination.
6. User Content
"User Content" means any photos, text, tasting notes, reviews, recipes, or other material you submit, post, or share through the Platform. You retain ownership of your User Content. By submitting User Content, you grant us a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Platform.
You represent and warrant that:
- You own or have the necessary rights to submit your User Content
- Your User Content does not infringe any third party's intellectual property, privacy, or other rights
- Your User Content complies with these Terms and all applicable laws
We reserve the right to remove or disable access to any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We are not obligated to monitor User Content but may do so at our discretion.
7. Acceptable Use
You agree not to use the Platform to:
- Violate any applicable law, regulation, or these Terms
- Buy, sell, trade, or facilitate transactions involving alcoholic beverages
- Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, or otherwise objectionable
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Upload malicious code, viruses, or any content designed to interfere with the Platform
- Scrape, crawl, or use automated tools to collect data from the Platform without our written consent
- Attempt to gain unauthorized access to the Platform, other accounts, or our systems
- Use the Platform to promote or encourage underage drinking
- Spam other users or send unsolicited communications through the Platform
- Circumvent any access controls, rate limits, or security features of the Platform
8. AI-Generated Content
The Platform may use artificial intelligence to identify bottles, generate tasting notes, suggest food pairings, and provide other informational content. AI-generated content is provided for convenience and informational purposes only. It may contain errors or inaccuracies. AI-generated content does not constitute professional advice of any kind. You should not rely solely on AI-generated content for any purchasing, consumption, or safety decisions. We make no warranties regarding the accuracy, completeness, or reliability of AI-generated content.
9. Clubs and Community Features
The Platform allows users to create and join private tasting clubs. If you create a club, you are responsible for:
- Ensuring your club's activities comply with these Terms and all applicable laws
- Managing your club's membership and moderating club content
- Ensuring all club members meet the age eligibility requirements
We may suspend or remove clubs, events, or related content that violate these Terms. We are not responsible for the conduct of club owners, members, or any activities that occur at in-person events organized through the Platform.
10. Subscriptions and Payments
Certain features of the Platform may require a paid subscription. If you purchase a subscription, you agree to pay the applicable fees as described at the time of purchase. Subscription terms, pricing, billing cycles, and cancellation policies will be presented to you before you are charged. All fees are non-refundable except as required by applicable law or as otherwise stated at the time of purchase. We reserve the right to change subscription pricing with reasonable advance notice.
11. Intellectual Property
The Platform, including its design, code, graphics, logos, trademarks, and all content created by Sipper Society (excluding User Content), is owned by Sipper Society LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform or its content without our prior written consent. Some recipe and reference content on the Platform is sourced from third-party providers and is used under license or with attribution.
12. Account Suspension and Termination
We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or if your use of the Platform poses a risk to other users or our operations. We will make reasonable efforts to notify you of any suspension or termination, but are not required to do so in advance.
You may delete your account at any time through the mobile app (Settings → Delete Account) or by contacting us. Upon deletion, your personal data, collection, recipes, club memberships, and uploaded content will be permanently removed in accordance with our Privacy Policy.
13. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Platform will be uninterrupted, error-free, or secure. We are not responsible for any decisions you make regarding the purchase, consumption, or handling of alcoholic beverages. You assume all risks associated with your use of the Platform and any activities arising from it, including in-person events.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIPPER SOCIETY LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
15. Indemnification
You agree to indemnify, defend, and hold harmless Sipper Society LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your User Content, your violation of these Terms, or your violation of any rights of another person or entity.
16. Dispute Resolution
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall take place in the State of Oregon. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: You agree that any arbitration or proceeding shall be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Sipper Society LLC.
Exceptions: Either party may bring a claim in small claims court if the claim qualifies. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
Opt-Out: You may opt out of the arbitration and class action waiver provisions by sending written notice to us within 30 days of creating your account. Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out. If you opt out, disputes will be governed by Section 17 (Governing Law).
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict-of-law principles. If arbitration does not apply (see Section 16), you agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of Oregon for the resolution of any disputes.
18. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you via email or in-app notification. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and delete your account.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
